This document sets out our terms of business.
We like to make things fast, easy and simple - including the legals. These terms are structured as a set of short-form provisions, supplemented with more detail as follows:

Who we are & how we work
Who we are
LawFlex Ltd., a global alternative legal service provider, with principal offices at 35 Hamasger St., 4th Floor, Tel Aviv 6777679 Israel (LawFlex)
This document refers to you, the customer (the person or entity buying our services) as you. If you are engaging LawFlex as an officer or employee of a legal entity, this agreement is binding on that entity.
What we do
LawFlex provides you access to a broad pool of independent lawyers and paralegals, and helps you to choose the right talent - on demand.
LawFlex will connect you with your chosen paralegals and licensed lawyers (Legal Professionals) in various jurisdictions who may provide specified legal services (the Legal Services) you have requested.
How we work
LawFlex doesn't just find you the right lawyer. We are a complete legal talent company with a range of flexible staffing, legal ops and process outsourcing solutions. The specific services LawFlex will provide to you (the Services) are defined in an agreed proposal. Here is how it works:
Make a request
You can request services from LawFlex through our website or e-mail. LawFlex will send you a proposal with shortlisted Legal Professional profiles, scope of services, rates, and billing terms (Proposal).
Choose the candidate
You assess which of the Legal Professionals profiled in the Proposal are suitable for your needs. You can interview them if you wish. You then notify LawFlex if you want to hire one of them.
Agree the PO
LawFlex sends you a Purchase Order (PO) detailing the Legal Services your chosen Legal Professional will provide, and confirming their rate and LawFlex's service fee, for you to accept and sign.
Our relationship
This agreement
Your agreement with LawFlex consists of each active PO and these terms of business - and nothing else.
You have no obligation to hire a Legal Professional or to go ahead with a Proposal. If you do choose to hire a Legal Professional or receive any other Services from LawFlex, you need to tell us and sign a PO.
If you hire any Legal Professional appearing in the Proposal (even if you have not signed a PO), this will be treated as an active PO and you must pay our fees.
Duration and termination
This agreement will start when you sign a PO.
If you ask the Legal Professional to start providing the Legal Services to you before you sign the PO, this agreement will start when the Legal Service start.
If you re-engage a Legal Professional within 12 months, you must do so via LawFlex.
Once you sign a PO, you must engage the Legal Professional through Lawflex. If you engage the Legal Professional again within 12 months after they have completed the Legal Services, you must do it via LawFlex.
Either party may terminate this agreement on 14 days' notice.
The termination notice may say if the termination also applies to any ongoing Services or Legal Services. Otherwise, this agreement will continue to apply to any ongoing services until they are completed.
Governing law and disputes
This Agreement is governed by English law.
The competent courts of England will have exclusive jurisdiction over any disputes arising under this agreement.
Responsibilities
The Services
LawFlex will provide its Services to you in accordance with the relevant PO and will use its best endeavours to make your chosen Legal Professionals available to you.
The Legal Services will be within the limits of the Legal Professional's expertise, experience and availability as described in the relevant Proposal.
LawFlex will not have access to the content of the Legal Services you request. So it is up to you to ensure that each assigned task is suitable for your selected Legal Professional.
LawFlex is not a law firm, so any Legal Services will be provided only by Legal Professionals.
LawFlex is a licensed manpower and placement services company and does not provide any legal services to you. LawFlex will not provide you with legal representation or interfere with the independence of Legal Professionals. Each Legal Professional works independently and is solely responsible for providing Legal Services to you. LawFlex does not assume responsibility for any Legal Services or for any activity that involves the practice of law.
Nothing in this agreement will be treated as (i) requiring or inducing referrals of business, or (ii) interfering with your right to choose your own legal professional, through LawFlex or otherwise.
Your communications with LawFlex are not attorney work-product and not protected under attorney-client privilege.
Your direct communications with your Engaged Professional, on the other hand, may benefit from attorney-client privilege.
LawFlex will still take care to keep its communications with you confidential and secure, as set out in this Privacy Policy.
If you employ one of our Legal Professionals
If you end up employing a Legal Professional introduced by LawFlex, you will have to pay a one time placement fee to LawFlex.
The Placement Fee is 15% of a full time annual salary. The Placement Fee will be payable whether or not you had previously engaged that Network Professional through LawFlex..
This is similar to paying a fee to a recruitment agent. If you have employed a professional introduced to you by LawFlex, it is fair that LawFlex is compensated, since it loses the full benefit of that professional in its network.
Paying invoices
LawFlex will send you an invoice at the end of each calendar month for work performed by Legal Professionals in that month.
You will pay each invoice within 30 days from the date of the invoice (or within the payment term given in the PO if different). You are responsible for any money transfer fees. You will pay any unpaid fees after this agreement is terminated.
Each invoice will be treated as correct and binding unless you dispute it by notifying LawFlex in writing within 5 days of receiving it.
Managing risk
Promises we make, and don't make
You are responsible for making sure you can lawfully enter into and perform this agreement.
You warrant that you are authorized to enter into this agreement. You are solely responsible for ensuring that this agreement and the Legal Services you have asked for do not breach any laws that apply to you.
LawFlex makes no representations about the Legal Services provided by any Legal Professional.
LawFlex is not responsible for (i) the accuracy, reliability, timeliness or completeness of any information or advice a Legal Professional gives you, (ii) the results you obtain from the Legal Services, or (iii) the Legal Professional not being available including cancelling or rescheduling appointments.
You release LawFlex from all liability arising from any claims regarding the Legal Services and your relationship with a Legal Professional, including malpractice claims.
If things go wrong
LawFlex's total liability is limited to the amounts you paid to LawFlex in the prior 6 months.
This limitation of liability applies to any claims under or relating to this agreement, whether based in negligence, contract, tort or other form of action.
Prior 6 months means the 6 months before the circumstances giving rise to the claim arose.
Neither of us (nor our affiliates, suppliers or licensors) will be liable to the other for consequential losses.
Consequential losses means (a) indirect, incidental or consequential losses, (b) special, exemplary, or punitive damages, (c) loss of data, use, profits, or legal services, and (d) costs of procuring substitute goods, services, rights or technology - in each case whether arising under negligence, contract, tort, strict liability or other legal theory.
This exclusion of consequential losses does not apply to claims under indemnities, breach of confidentiality and breach of warranties.
